Terms of Service

1. Agreement

These Terms govern your use of the Trio Assist Client Portal at portal.trioassist.com (the “Portal”), provided by Trio Assist, LLC (“Trio Assist,” “we,” “us”). By signing in, you agree to them. If you do not agree, do not use the Portal.

The Portal software is operated on our behalf by MinnSight, LLC, which provides the hosting and technical operation of the service.

2. Who may use the Portal

The Portal is available to current Trio Assist clients and their authorized personnel. Access is provided as part of your service agreement with us, at no separate charge, and continues for as long as that agreement is active.

3. Your account

We create your account and provide sign-in credentials. You are responsible for keeping them confidential and for activity that happens under your account. Tell us promptly if you believe your account has been accessed without your authorization. Do not share your credentials or let anyone outside your organization use them.

4. Acceptable use

Do not attempt to access another client’s account or data; do not probe, scan, or test the security of the Portal; do not copy, scrape, reverse engineer, or resell the Portal or its underlying software; do not upload anything unlawful, infringing, or malicious; and do not use the Portal to send spam or harassing messages.

5. Content you submit

You keep ownership of the blog requests, advertising requests, messages, and other material you submit. You give us permission to use that material for the purpose you submitted it — producing and publishing work on your behalf under your service agreement. You confirm you have the rights to whatever you submit.

6. Your data

Your marketing performance data and account information remain yours. We use them to provide the Portal and the services in your agreement, as described in our Privacy Policy. We do not sell your data or share it with other clients.

7. Billing information

The Portal displays your current balance with Trio Assist, drawn from our accounting system. We work to keep it accurate, but the Portal is a convenience view — your invoices and any written statements we issue are the authoritative record. If the two disagree, the invoice governs. Contact us about any discrepancy rather than relying on the Portal figure.

8. Third-party services

The Portal connects to services including Google Search Console, Google Analytics, Google Business Profile, and Intuit QuickBooks Online. Those services are operated by third parties under their own terms, and we are not responsible for their availability or accuracy. If a third-party connection fails or is revoked, some Portal information may be incomplete or out of date.

9. Availability

We work to keep the Portal available continuously and will use commercially reasonable efforts to do so, but we do not guarantee uninterrupted access. The Portal may be unavailable for maintenance, updates, or reasons outside our control. We may modify or discontinue features; if we discontinue the Portal entirely, we will give active clients reasonable notice.

10. No warranty

The Portal is provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Portal will be error-free or that the information it displays will always be complete or current.

11. Limitation of liability

To the fullest extent permitted by law, neither Trio Assist nor MinnSight is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of your use of the Portal. The total liability of Trio Assist and MinnSight, together, for any claim relating to the Portal will not exceed one hundred dollars ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

12. Ending access

You may stop using the Portal at any time. We may suspend or end your access if your service agreement ends, if you breach these Terms, or if we discontinue the Portal. When access ends we will handle your data as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms. If a change is material we will update the date above and notify active clients by email. Continuing to use the Portal after a change means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Minnesota.
